Draw Steel Codex - Terms of Use

Important Notice: Please read this agreement carefully before using the Draw Steel Codex service.
Section 25 of this Terms of Use Agreement contains a binding arbitration clause and class action waiver. If you live in the United States, this affects your legal rights about how disputes are resolved. Please read it carefully.
1. Introduction and Acceptance
This Terms of Use Agreement (the “Agreement” or “Terms”) is a contract between you and MCDM Productions, LLC (“MCDM,” “we,” “us,” or “our”). It governs your use of the “Draw Steel Codex” virtual tabletop software and related services (the “Service”).
By using the Service, you agree to these Terms
When you use the Service, you’re agreeing to follow these Terms. If you don’t agree with any part of these Terms, please don’t use the Service.
Specifically, by using the Service you agree that:
You understand this is a legally binding contract
You will use the Service according to these Terms and all applicable laws
You have read and understood these Terms
Who can use the Service
You must be at least 13 years old to use the Service. If you’re 13 or older but still a minor in your location, your parent or legal guardian must agree to these Terms on your behalf and supervise your use of the Service.
We may update these Terms
We may modify these Terms from time to time. When we do, we’ll notify you either through the Service or via email to the address associated with your account. The updated Terms will show a new “Last Modified” date at the top.
By continuing to use the Service after we update the Terms, you agree to the new version. If you don’t agree with the changes, you must stop using the Service.
2. License Grant and Restrictions
MCDM grants you a personal, non-exclusive, non-transferable, limited license to access and use the Service for your personal entertainment purposes only. This means you can use the Service to play games, communicate with other users, and make use of other Service features, but you don’t own the Service and you can’t sell or transfer your access or your account to anyone else.
What you cannot do
You agree that you may not:
Sell, rent, lease, or transfer your license to use the Service
Copy, modify, or create derivative works of the Service
Reverse engineer, decompile, or attempt to extract the source code
Remove or modify any copyright, trademark, or other proprietary notices
Use the Service for any commercial purpose without our written permission
Access the Service through any means other than the interfaces we provide
If you sell or transfer a device
If you sell or give away a device that has the Service installed, you must remove the Service from that device first.
3. Account Requirements
Creating your account
To use the Service, you need to sign in with a valid third-party account, such as your Steam account. We may offer additional sign-in options and options to link outside services (like Discord) to your account from time to time.
Your responsibility for your account
You are solely responsible for all activity that occurs on your account. That means you’re responsible for keeping your account login information secure and any charges made through your account. You agree to notify us immediately if your account is compromised or used without your permission.

One account per person
You may only create one account. If you’re found to have multiple accounts, we may suspend or terminate all of them if we (in our reasonable opinion) believe that you are doing so to circumvent bans or exploit the Service inappropriately, or doing anything else that we believe is in violation of these Terms or otherwise not in the Service’s best interest.
Account information must be accurate
When you create your account on the Service, you must provide accurate information. You’re responsible for keeping this information up to date.
Your username
Choose your username carefully. You cannot use a username that:
Belongs to another person (with intent to impersonate them)
Includes someone else’s trademark or brand without permission
Is offensive, vulgar, obscene, or otherwise inappropriate (in MCDM’s sole opinion)
We may require you to change your username at any time if we determine it violates these rules.
No expectation of privacy in interactions
You acknowledge that there is no expectation of privacy in your interactions with other users through the Service. We may access, review, and share the contents of your messages, chat logs, and other communications as necessary to operate the Service, enforce these Terms, or comply with legal requirements.
We will fully cooperate with law enforcement and other government entities in investigating content on the Service.
No buying, selling, or trading accounts
You may not buy, sell, give away, or trade any account. You agree that we own or have rights to all content in the Service, including all accounts. Any attempt to transfer a Service account violates these Terms.
4. Service Access
How you can access the Service
There are two ways to access the Service:
Patreon Subscribers: If you subscribe to MCDM through Patreon (or other platforms which we may offer from time to time) at a qualifying tier, you’ll receive free access to the Service as part of your subscription benefits. To activate this access:
Link your Patreon account to your Service account
Maintain an active qualifying Patreon subscription
Your access will remain active as long as your qualifying subscription is active
Direct Purchasers: You can also purchase access to the Service directly through Steam or other platforms we may offer in the future. Direct purchases provide ongoing access to the Service according to the terms of your purchase, as described on the Service at the time of your purchase.
If your subscription ends
If you’re accessing the Service through Patreon or a direct purchase, and your subscription lapses, is canceled, or is downgraded below the qualifying tier:
Your access to the Service will be suspended
We are not responsible for any loss of content or progress during the suspension – we reserve the right to delete any user content and information after a reasonable amount of time following suspension
You can restore access by either renewing your qualifying Patreon subscription or purchasing direct access
Account linking
When you link third-party accounts (like Patreon, Steam, or Discord) to the Service, you authorize us to access certain information from those accounts. You agree that the third-party service’s terms and privacy policy apply to your use of their service. We’re not responsible if those third-party services change their terms, suspend your account, or stop working with the Service. We’re also not responsible for issues with those platforms, including refund policies, account suspensions, or service interruptions.
This includes, but isn’t limited to, your Patreon subscription, your Steam or other platform purchases, or other third-party accounts.
5. Third-Party Platforms
The Service works with other platforms
Even though you may access the Service through a third-party platform or link a third-party platform to the Service (we’ll refer to each of these as a “Third-Party Platform”), those platforms are not parties to this Agreement. You agree that they have no obligations to you regarding the Service.
Each Third-Party Platform has separate terms of service that you must agree to in order to use their platform. Nothing in this Agreement changes your relationship with those platforms or their terms.
Use of profile pictures and other information
If you connect a third-party account, we may use your avatar from those services as your profile picture in the Service. You represent that you have the right to use that avatar and grant us permission to display it.
6. Your Content and Conduct
What is “Content”?
Any communications, materials, or content you post, upload, share, or transmit through the Service is called your “Content.” This includes:
User-made modules, maps, and campaigns
Characters, stories, and artwork
Profile pictures and photographs
Chat messages, comments, and voice recordings
Any other data or materials you create or share
MCDM does not own your Content. You retain all ownership rights to the Content you create. But you give us permission to use it.
By posting Content on the Service, you represent that you own the Content or have all necessary rights to share it and that you’re not violating anyone else’s rights by posting it.
You grant MCDM a license to:
Use, copy, modify, distribute, and display your Content
Translate, adapt, and create derivative works from your Content
Make your Content available to other users according to your sharing settings
Incorporate your suggestions or feedback into the Service as new or updated features
Use your Content in any form or media (whether existing now or developed later)
Use your Content for both commercial and non-commercial purposes
We need this license to operate the Service and provide core Service features, like sharing Content with other users.
Rules for your conduct
You are responsible for your conduct on the Service. You agree that you will not post Content or engage in conduct that:
Harms or harasses others:
Threatens, bullies, defames, abuses, or harasses anyone
Is obscene, extremely violent, lewd, sexually provocative, or pornographic
Could give rise to civil or criminal liability
Constitutes hate speech, slurs, or attacks based on race, color, gender, age, religion, national origin, disability, sexual orientation, or gender identity
Disrupts the Service or other users:
Restricts, inhibits, or discourages other users from using the Service
Makes the Service uncomfortable or unsafe for others
Encourages vigilantism, bullying, or other harmful behavior
Sends spam (the same message multiple times or to multiple people)
Contains chain letters or constitutes junk mail
Violates the law or others’ rights:
Violates any local, state, federal, or international laws
Infringes on copyright, trademark, privacy, publicity, or other proprietary rights
Solicits or advertises commercial products or activities (except where we explicitly allow it)
Compromises security:
Uses hacks, bots, automation software, or other unauthorized third-party tools
Attempts to gain unauthorized access to accounts, data, or systems
Uses programs designed to “crack” the Service or exploit vulnerabilities
Contains viruses, malware, corrupted files, or other harmful code
Imposes an unreasonable load on the Service’s servers
Misleads or deceives:
Creates a false identity to mislead others
Claims to be affiliated with MCDM when you’re not (like claiming to be an admin or moderator)
Requests login information from other users
Uses any means to disguise your identity or create duplicate accounts
Or anything else that we determine, in our sole discretion, is offensive, harmful to the Service, or damaging to our business or users.
7. Sharing and Collaboration Features
Private and Public Content
When you create content and upload, post, or otherwise transfer it to the Service, you can control who sees it in the following ways:
Private content: Only you and people you specifically invite can access it
Public content: Anyone using the Service can find and access it
Link sharing: You can share specific content through links, giving access to anyone with the link
Important: Even if you mark content as private, we cannot guarantee absolute privacy. Technical issues, security breaches, or other factors beyond our control might result in private content being exposed. Always be careful about what you share on the Service.
When You Share Content Publicly
If you make your content public or share it through the Service, you give other users permission to view and use your content in their own games, to make copies for their personal use, to modify your content to create their own versions, and to reshare your public content with others.
You cannot take back these permissions once you’ve shared content publicly, so be certain you want to share before you do.
Other users are not required to give you credit or pay you for public content.
Link Sharing
When you share content through a link, anyone with that link can access the content, even if they’re not on your friends list. Be careful about where you share these links.
If you want to revoke access, you can delete the content from the Service or cancel the link (or generate a new link) in your account settings.
Collaborative Projects
The Service allows you to work on projects with other users. When collaborating, you agree that all collaborators can view and edit the shared content. You’re solely responsible for choosing who you collaborate with. You agree that MCDM is not responsible for any disputes between collaborators.
8. Community Features
Stats, Leaderboards, and Public Information
The Service includes features that allow you to share your gaming statistics and appear on leaderboards. These features may display information such as your games played, game and achievement progress, character statistics, and rankings and leaderboards we make available on the Service.
Your Privacy Controls
You can control what information is shared publicly through your account settings. However, some basic information (like your username and profile picture) may always be visible to other users you interact with. Be thoughtful about what information you include.
9. Your Safety and Responsibility
Understanding the Risks
The Service allows you to play games of Draw Steel with other users, including people you may not know in real life. While we work to maintain a positive community, it’s important that you to understand the following:
No Vetting: MCDM does not vet, screen, or conduct background checks on users. We are not responsible for the actions, behavior, or content of other users, whether online or offline.
Assuming Risk: When you interact with other users through the Service, you do so at your own risk. These interactions may include viewing content they create or share, hearing or seeing things they say or do during games, and any other interactions you have with them on or outside of the Service.
Protecting Yourself: We strongly recommend that you be very cautious about sharing personal information with other users. You can use the Service’s privacy settings to control who can contact you. If another user makes you uncomfortable or you believe they are breaking the rules or being inappropriate, you can block them through the Service’s functionality or report their behavior through the Service’s reporting tools.
Trust your instincts! If something feels wrong, end the interaction and let us know.
Never share sensitive information like your home address, phone number, financial information, or other details that could be used to harm you or steal your identity.
Content from Other Users
While using the Service, you may encounter content from other users that you find offensive, objectionable, or inappropriate. This could include:
Offensive language or images
Disturbing or violent content
Content that makes you uncomfortable for any reason
It’s important to know that we do not pre-screen, monitor, or control user-generated content. By using the Service and viewing other users’ content, you acknowledge that MCDM is not responsible for any content created by other users, and that you may be exposed to content that you find objectionable.
If you encounter content that violates these Terms or our community standards, please report it using the Service’s reporting tools.
Minors and Parental Supervision
If you are under 18 years old, we strongly encourage you to use the Service only with parental supervision. Discuss with your parents or guardian what information is safe to share online and tell a trusted adult if another user makes you uncomfortable.
Parents and guardians: Please be aware that if you allow a minor to use the Service, they may be exposed to content from other users that you may find inappropriate. We recommend supervising minors’ use of the Service and discussing online safety with them.
10. Reporting and Moderation
How to Report Issues
If you encounter content or behavior that violates these Terms or makes the Service unsafe or uncomfortable, please report it. You can use the in-game/Service reporting tools, or contact us at hello@mcdmproductions.com.
Our Discretion
All moderation decisions are made at MCDM’s sole discretion. You agree that we’re not required to take any particular action in response to reports, and we don’t have to explain our decisions to you or anyone else.
We try to respond to reports promptly, but we don’t guarantee any specific response time.
False Reports
Making false or malicious reports may result in action against your account, including suspension or termination.
What We Don’t Do
It’s important to understand that we don’t monitor all content or conversations proactively and we can’t prevent all inappropriate behavior before it happens.
We’re not responsible for investigating criminal matters. If you believe a crime has occurred, contact law enforcement
Lastly, we don’t act as arbitrators in disputes between users. Resolving those disputes is solely the responsibility of the users involved.
11. Virtual Items and Virtual Currency
What are Virtual Items?
The Service may offer virtual content, items, and currencies (collectively, “Virtual Items”) that you can purchase with real money or earn or access through other means on the Service (as may be made available from time to time). This might include things like campaign content, artwork and other materials, virtual currencies, or other digital goods.
Purchasing Virtual Items
When you choose to purchase Virtual Items, you’re making an offer to purchase at the prices shown on the Service. This sale is final when we process your payment.
You’re purchasing a limited license to use the Virtual Items, not ownership of them.
You agree and understand that:
Virtual Items have no real-world value
Virtual Items cannot be exchanged for real money
You cannot sell, trade, or transfer Virtual Items outside the Service
We do not recognize any transfers of Virtual Items outside the Service
No refunds
Unless required by law or otherwise specified on the Service or by the platform you purchased or accessed the Service through, all sales of Virtual Items are final when the transaction is processed and no refunds will be given.
12. Payments and Subscriptions
Fees for the Service
Certain features of the Service may require payment of fees, including one-time purchases or ongoing subscriptions (collectively, “Fees”).
How subscriptions work
If you purchase a subscription, you authorize us to automatically charge your payment method for the applicable Fees at the start of each subscription period. Each subscription Fee payment is made in advance of the upcoming subscription period. The subscription will continue until you cancel it (your access to features will continue until the end of the paid-for subscription period), and subscription Fee payments are non-refundable once made. No refunds will be issued for partial subscription periods.
Managing your subscription
You can cancel your subscription at any time by canceling through your account settings on the Service. The platform that you access the Service through may also include cancellation options, if you are paying for your subscription through that platform. You can also cancel by contacting us at hello@mcdmproductions.com.
Payment information
When making a purchase through the Service, you agree to provide accurate and current payment information and to update your payment information if it changes.
You’re responsible for all charges to your payment method, including any overdraft or transaction fees charged by your bank or card issuer.
If we cannot process your payment, we may suspend your access to paid features until payment is received.
Changes to Fees
We may change our Fees at any time. We’ll notify you of Fee changes through the Service or by email (if we have one on file through your account). For subscriptions, price changes will take effect at the start of your next subscription period after we notify you.
Third-party payment processors
We use third-party payment processors to handle payments. By making a purchase, you authorize these processors to charge your payment method and agree to their terms and conditions.
If you have a dispute with a payment processor or your bank regarding a transaction, that dispute is between you and them. You agree to hold MCDM harmless from any claims arising from payment disputes.
13. Service Modification, Termination, and Monitoring
We may change or discontinue the Service
MCDM reserves the right to modify or discontinue the Service (or any part of it) at any time. We may make these changes with or without notice to you, and we’re not liable for any modifications, suspensions, or discontinuances.
We may monitor your use
MCDM reserves the right to monitor use of the Service to determine compliance with these Terms, evaluate the quality of service you receive, protect the security of the Service, and investigate violations of these Terms.
We may monitor your Content and communications, edit or refuse to post any Content or materials, refuse access to anyone for any reason, and terminate any account at any time.
Monitoring does not create obligations
Our right to monitor does not mean we have an obligation to monitor.
You agree that our monitoring activities do not entitle you to any claims against us. We’re not liable for any costs, damages, or other liabilities from our monitoring activities, and we’re not liable for our failure to monitor or enforce these Terms.
14. Backup and Data Loss
You are responsible for backups
MCDM is not a backup service. We do not guarantee that we will maintain copies of your content or that your content will always be available.
You are solely responsible for making your own backup copies of any content you create, maintaining copies of any content you care about, and any loss of content for any reason.
We are not liable for data loss
MCDM is not responsible for any loss, corruption, or deletion of your content, regardless of the cause.
This includes loss due to technical failures, security breaches, service interruptions, software bugs, account termination, or any other reason whatsoever.
Recommendations
We strongly recommend that you:
Regularly export or save copies of important content outside the Service
Don’t rely on the Service as your only copy of important work
Back up your content before major updates to the Service
While we work to keep the Service running smoothly, the best way to protect your content is to maintain your own backups.
15. Security of Data Transmission and Storage
Electronic communications using the Service may not always be encrypted.
You acknowledge that there is a risk that unauthorized third parties may access data transmitted between you and MCDM or between you and other users. Your communications and content on the Service may be publicly available to other users.
You’re responsible for understanding these security risks and using the Service accordingly.
16. Links to Other Sites and Services
The Service may contain links to other websites, applications, and services, including through advertisements (these are called “Linked Services”). Examples include external art assets, music services, or third-party tools. MCDM does not control the content of Linked Services, nor do we make any representations about the accuracy, security, or privacy of Linked Services.
Use of Linked Services is at your own risk.
17. Intellectual Property Rights
MCDM owns the Service
The Service is owned by MCDM and protected by United States copyright laws, international treaty provisions, trademark laws, and other intellectual property laws.
You may not copy, republish, download, transmit, or modify the Service or its content (except your own content). You also may not create derivative works based on the Service, or distribute, display, perform, or sublicense the Service in any way that violates our intellectual property rights.
Our trademarks
All trademarks, service marks, trade names, logos, and other marks displayed on the Service are proprietary to MCDM or used under license. You cannot use any of these marks without our prior written permission.
Respecting others’ intellectual property
You’re responsible for ensuring that your Content does not violate anyone else’s intellectual property rights. If you post Content that infringes on someone’s copyright, trademark, or other rights, we may remove it and terminate your account.
18. Copyright Complaints (DMCA)
How to report copyright infringement
If you believe that content on the Service infringes your copyright, you may submit a DMCA notification to our Copyright Agent. Your notice must include:
A physical or electronic signature of the person authorized to act on behalf of the copyright owner
Identification of the copyrighted work that has been infringed (or a list of works if multiple)
Identification of the infringing material and where it’s located on the Service, with enough detail for us to find it
Your contact information (email, address, and phone number)
A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
A statement, under penalty of perjury, that the information in your notice is accurate and that you’re authorized to act on behalf of the copyright owner

Repeat infringers
We will terminate the accounts of users who repeatedly infringe on others’ copyrights or intellectual property rights.
19. Disclaimers and Warranties
The Service is provided “as-is”
You use the Service entirely at your own risk. MCDM provides the Service on an “as-is” and “as-available” basis without any warranties of any kind, whether express or implied. We expressly disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
What we don’t promise
MCDM makes no warranty that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, provide accurate or reliable results, or that any errors or defects will be corrected. We also don’t warrant that the Service will be compatible with your device or other software.
Third-Party Platforms
No Third-Party Platform (like Steam or Patreon) makes any warranties about the Service. They’re not responsible for the Service’s functionality or performance, any claims, losses, liabilities, or damages related to the Service, any intellectual property infringement claims, or any failure of the Service to perform or conform to any standard.
Some jurisdictions don’t allow disclaimers
Because some states or jurisdictions don’t allow the disclaimer of implied warranties, some of these disclaimers may not apply to you. In those cases, warranties are limited to the maximum extent permitted by law.
20. Limitation of Liability
We’re not liable for damages
To the maximum extent permitted by law, MCDM and its officers, directors, employees, and agents will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages. This includes loss of profits, goodwill, use, data, or other intangible losses, as well as damages resulting from your use or inability to use the Service, unauthorized access to or alteration of your transmissions or Content, statements or conduct of any third party on the Service, or any other matter relating to the Service.
This applies even if we’ve been advised of the possibility of such damages, and regardless of the legal theory (whether based in contract, tort, or otherwise).
Third-Party Platforms have no liability
You waive all claims against any Third-Party Platform related to your possession or use of the Service, the content of the Service, or rights licensed under this Agreement. Any claims must be brought solely against MCDM, as described in these Terms.
Maximum liability
In jurisdictions where liability cannot be excluded, MCDM’s total liability is limited to the amount you paid to MCDM in the 12 months before the claim arose, or $100 USD, whichever is greater.
Some jurisdictions don’t allow limitations
Because some states or jurisdictions don’t allow the exclusion or limitation of liability for consequential or incidental damages, some of these limitations may not apply to you. In those cases, our liability is limited to the fullest extent permitted by law.
21. Indemnification
You agree to indemnify, defend, and hold harmless MCDM and its affiliates, officers, agents, and employees from any third party claims, demands, losses, costs, or expenses (including reasonable attorneys’ fees) arising from any content you submit, post, or transmit through the Service, your use of the Service (including use by anyone accessing the Service through your account), your violation of these Terms, your violation of any laws or regulations, your violation of any third party’s rights (including intellectual property, privacy, or publicity rights), your interactions with other users, or any dealings with third parties through the Service.
22. Privacy and Your Personal Information
We collect, process, and share certain personal information as described in our Privacy Policy. This may include account information, usage data, communications, payment information, and information from connected third-party accounts.

23. Legal Compliance and Export Controls
You must comply with the law
By using the Service, you represent and warrant that you’re not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, you’re not on any U.S. Government list of prohibited or restricted parties, and you will comply with all applicable laws regarding your use of the Service.
Export restrictions
The Service and its content may be subject to U.S. export control laws. You agree to comply with all applicable export and re-export restrictions, including the U.S. Export Administration Regulations, International Traffic in Arms Regulations, and economic sanctions maintained by OFAC. You may not use or export the Service in violation of these restrictions.
24. Governing Law and Dispute Resolution
California law applies
These Terms and all disputes arising from or relating to these Terms or the Service will be governed by the laws of the State of California, without regard to its conflicts of law principles. This is true regardless of where you reside or do business with MCDM.
For EU users
If you’re located in the European Union and have a dispute relating to these Terms, you may first attempt to resolve it by contacting us at hello@mcdmproductions.com.
If we can’t resolve it amicably, you can file a complaint through the European Commission’s Consumer Redress site at https://consumer-redress.ec.europa.eu/index_en. If alternative dispute resolution fails, you may bring the dispute before the competent courts.
For everyone else
Unless you’re located in the EU or your local law requires otherwise, disputes will be resolved through binding arbitration as described in Section 25 below.
25. Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute or claim relating to your use of the Service (each, a “Claim”) will be resolved by binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.
Claims must be brought individually
You agree that each Claim must be brought individually. There is no right to bring Claims on a class action basis, use class action procedures, bring Claims in a representative capacity, act as a private attorney general, or join your arbitration with any other arbitration.
The Federal Arbitration Act and JAMS Rules apply
The Federal Arbitration Act and federal arbitration law govern this Agreement and this arbitration clause.
Any dispute will be resolved through binding arbitration under the JAMS Streamlined Arbitration Rules and Procedures, available at https://www.jamsadr.com/rules-streamlined-arbitration/. These rules are incorporated into this Agreement by reference.
How arbitration works and how to start the process
Arbitration is a process where an arbitrator (not a judge or jury) reviews the arguments, awards damages and other relief like a court would, and must follow this Agreement. Court review of the arbitration award is very limited.
To start arbitration, send an email to hello@mcdmproductions.com describing your Claim and requesting arbitration, or we may send you written notice requesting arbitration at your address.
Fees and costs
The party filing the Claim pays the initial filing fees. Other filing and administrative fees will be divided as directed by JAMS rules. The arbitration will take place in Los Angeles, California, USA, unless the parties agree to video, phone, or internet appearances.
Remedies and discovery
You may seek any remedies available under federal, state, or local laws. Both parties will have the opportunity for discovery of relevant, non-privileged information. The arbitrator will provide a written statement of the decision, award, and findings.
However, either party may bring a lawsuit in court for equitable relief, misuse or infringement of intellectual property rights, or claims related to theft, piracy, invasion of privacy, or unauthorized use of the Service.
You waive your right to a jury trial
BY AGREEING TO ARBITRATION, YOU AND MCDM WAIVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.
If any portion of this arbitration clause is found illegal or unenforceable, that portion will be severed and the remainder will remain in full force and effect.
26. Miscellaneous Terms
Updates to these Terms
These Terms may only be revised by MCDM, either through a written amendment or by posting a new version on the Service. The updated Terms will show a new “Last Modified” date.
Force majeure
MCDM is not liable for any delay or failure to perform due to causes outside our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, fuel, energy, labor, or materials, or failures of the internet or other infrastructure.
No partnership
Nothing in these Terms creates any joint venture, partnership, employment, or agency relationship between you and MCDM.
Assignment
MCDM may assign these Terms (in whole or in part) to any person or entity at any time, with or without your consent. You may not assign these Terms without MCDM’s prior written consent. Any unauthorized assignment by you will be null and void.
Severability
If any part of these Terms is determined to be void, invalid, or unenforceable, that portion will be severed and the remainder will remain in full force and effect.
Attorneys’ fees
If either party brings litigation related to these Terms, the prevailing party will be entitled to recover reasonable attorneys’ fees, costs, and expenses from the other party.
No waiver
Our failure to enforce any provision of these Terms will not be construed as a waiver of that provision or any other provision. Any waiver must be in writing.
Equitable remedies
You agree that MCDM would be irreparably harmed if these Terms are not specifically enforced. Therefore, MCDM is entitled to equitable remedies (including injunctions) for breaches of these Terms, in addition to any other remedies available under applicable law. We won’t need to post a bond or prove damages to obtain equitable relief.
Entire Agreement
These Terms, including the documents expressly incorporated by reference (like the Privacy Policy), constitute the entire agreement between you and MCDM regarding the Service. They supersede all prior communications, whether electronic, oral, or written.
